Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Recap mobile application and related services (collectively, the "Service") provided by GameFrame Limited, a company registered in England and Wales (company number 16139017), whose registered office is at 12 Highgate Road, London, NW5 1AS, trading as Recap ("Recap", "we", "us", or "our").

By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes via in-app notice or email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

1. Eligibility

You must declare you are at least 13 years old to create an account to use the Service.

If you are aged 13 to 17, you may only use the Service with the knowledge and involvement of a parent or legal guardian, and certain features may be restricted in accordance with applicable law, including the UK Age Appropriate Design Code ("Children's Code").

You represent that you are legally capable of entering into binding contracts, or that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Your use of the Service must comply with all applicable laws and regulations.

We reserve the right to restrict, suspend, or terminate access for any user where we reasonably believe they do not meet these eligibility requirements.

To ensure the Service works, please ensure that your operating system is compatible. The requirements for these operating systems may change and you must download the updates from the relevant Appstore to keep using the Service.

2. Account Registration

To access certain features (such as uploading footage or generating highlights), you must create an account. Account creation is available via the Apple App Store, using Social Login (currently Google and Apple sign-in).

You agree to provide accurate, current information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@recap.mobi of any unauthorised use.

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if your account poses a risk to the Service or other users. You may delete your account at any time via the app settings.

3. Service Description

Recap allows users to:

• Record sports footage using a mobile device
• Sort and process footage with AI to generate highlight videos
• Add elements such as music, sound effects, commentary, crowd noise, graphics, and more
• Format highlights for sharing on platforms such as YouTube, TikTok, Instagram, and Facebook

The Service offers a free tier with certain limitations and paid subscription tiers providing additional features and fewer restrictions.

We use third-party AI tools and services (including, but not limited to, Google Gemini for analysis, Eleven Labs for voice generation, and Epidemic Sound for music) to enhance content. These third-party services are subject to their own terms and policies.

The Service is provided "as is" and may evolve over time. Features may be added, modified, or removed without prior notice.

4. User Content and Licences

4.1 Your Content

You retain ownership of any footage, videos, or other content you upload to the Service ("User Content").

By uploading User Content, you grant Recap a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify (including via AI editing and processing), distribute, display, and create derivative works from your User Content in connection with operating, providing, improving, and promoting the Service.

This licence continues for a commercially reasonable period after you remove your User Content from the Service, to the extent necessary to complete any use already in progress. For the avoidance of doubt, the licence terminates once your content is fully removed and any ongoing distribution or processing has concluded.

4.2 AI-Generated Content

Where Recap generates new content elements using AI (including but not limited to commentary, graphics, effects, or edited highlight sequences), Recap retains ownership of those AI-generated additions.

The resulting highlight video, as a combined work containing both your User Content and AI-generated elements, is provided to you under a licence to use, download, and share for personal, non-commercial purposes (unless a paid tier expressly permits commercial use).

4.3 Derivative Works

You acknowledge and agree that by uploading User Content, you grant Recap the explicit right to create derivative works from your footage, including through AI-driven transformation, editing, and assembly. This is fundamental to how the Service operates.

Ownership and rights in relation to AI-generated derivative works are a developing area of law. Nothing in these Terms is intended to make any definitive claim regarding the copyrightability or ownership of purely AI-generated output. To the extent that any rights exist in such output, Recap reserves those rights.

4.4 Licence to Other Users

Where you make your highlights available to other users via the Service, you grant those users a limited, non-exclusive licence to view and share your content through the Service's built-in features.

4.5 Content Removal

We may remove User Content that violates these Terms, our Community Guidelines, or applicable law, but we are not obligated to monitor all content. We may also retain copies of removed content where required for legal or compliance purposes. Where we remove or restrict access to your User Content, or suspend or terminate your account, we will notify you of the reasons for that decision and of any available redress options, unless we are prevented from doing so by applicable law. We accept no liability for content removed in good faith.

5. Your Responsibility for Consent and Rights

Important — please read this section carefully.

5.1 Rights in Your Content

You represent and warrant that:

• You own your User Content or have obtained all necessary licences, rights, consents, and permissions to upload it to the Service and to grant the licences described in these Terms.
• Your User Content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other proprietary or personal rights.

5.2 Consent of Individuals Appearing in Your Content

You are solely responsible for obtaining all necessary consents from every identifiable individual who appears in your User Content, including players, coaches, spectators, officials, and any other persons captured in your footage.

Where your footage includes minors (anyone under 18), you must obtain verifiable consent from their parent or legal guardian before uploading that content to the Service.

You acknowledge that:

• Recap has no ability to verify whether you have obtained the required consents.
• Recap accepts no liability for your failure to obtain consent from individuals appearing in your footage.
• You may be personally liable under applicable privacy, data protection, and child safeguarding laws if you upload content featuring individuals without their consent.

5.3 Venue and Event Rules

You are responsible for complying with any rules, policies, or terms imposed by the venue, event, league, or organisation at which you record footage. Recap accepts no liability for recordings made in breach of such rules.

6. User Conduct and Community Guidelines

You agree not to:

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or that infringes the rights of others
• Upload content that exploits, endangers, or depicts harm to minors
• Use the Service for unauthorised commercial purposes (except as expressly permitted under paid subscription tiers)
• Reverse-engineer, decompile, hack, or otherwise interfere with the Service or its security
• Misrepresent AI-generated content as unedited or authentic footage (e.g. creating misleading deepfakes)
• Violate any applicable law, regulation, or third-party right whilst using the Service
• Use the Service to harass, bully, stalk, or intimidate any person
• Post, share, or transmit any content that is abusive, threatening, harassing, defamatory, discriminatory, hateful, sexually explicit, obscene, or otherwise inappropriate
• Share personal information of other users without their consent, including photographs, contact details, or location information
• Impersonate any person or entity, or falsely claim to be affiliated with any person, school, or organisation
• Share or solicit content that promotes self-harm, suicide, eating disorders, or substance use
• Groom, exploit, or attempt to exploit other users in any way
• Engage in commercial activities, including advertising, spam, or unsolicited communications
• Share content that infringes third-party intellectual property rights
• Engage in any activity that is unlawful under the laws of England and Wales or any other applicable jurisdiction

All User Content must comply with our Community Guidelines, which prohibit hate speech, violence, misinformation, and the unauthorised filming and distribution of content featuring minors.

7. Children and Young Users

7.1 Age Restrictions

The Service is not intended to be accessed by or directed at children under 13. If we become aware that a child under 13 has created an account, we will take steps to delete that account and its associated data promptly.

7.2 Users Aged 13 to 17

The Service includes a Teen Mode feature that, if available, allows a parent or guardian to set up an account to be accessed by children between 13-17. Certain features may be restricted or require additional safeguards in accordance with the Children's Code and applicable data protection law. Parents and guardians are encouraged to supervise their child's use of the Service and to contact us at any time with concerns. We operate an easy-to-use reporting mechanism accessible within the Service.

We design the Service with the best interests of child users as a primary consideration. All user accounts default to Private profile and Private video visibility. The Service includes a Teen Mode feature that allows a parent or guardian to lock the settings screen with a PIN.

7.3 Content Featuring Minors

Regardless of your own age, if you upload content that features a minor, you must have obtained verifiable consent from their parent or legal guardian (see Section 5.2). Content that exploits, sexualises, or endangers minors in any way is strictly prohibited and will be immediately removed. We may report such content to the relevant authorities in accordance with our legal obligations.

8. Intellectual Property

We own all rights, title, and interest in and to the Service, including the software, AI models, algorithms, designs, branding, and all associated intellectual property. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written permission.

"Recap" is a registered trade mark of GameFrame Limited in the United Kingdom (Application No. UK00004294903). All other trade marks, service marks, and trade names used in the Service are the property of their respective owners.

For music, sound effects, and other media provided through third-party partners (such as Epidemic Sound), you must comply with the applicable licence terms for those assets. Your licence to use such content is limited to the scope permitted by your subscription tier and the relevant third-party terms.

The Service may contain links to other independent websites which are not provided by us. Such independent sites are not under our control, and we are not responsible for and have not checked and approved their content or their privacy policies (if any). You will need to make your own independent judgement about whether to use any such independent sites, including whether to buy any products or services offered by them.

9. Payments and Subscriptions

Paid subscription tiers are billed on a recurring basis (monthly or annually) via the Apple App Store. Subscriptions auto-renew unless cancelled before the end of the current billing period. By using the Service within the 14-day cancellation period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you expressly consent to the supply of digital content and acknowledge that you will lose your right of cancellation under those Regulations once supply has begun.

Refunds are subject to Apple's refund policies. We may change subscription pricing with reasonable advance notice.

10. Disclaimers and Limitation of Liability

10.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or reliability.

We do not warrant that the Service will be uninterrupted, error-free, virus-free, or that any content (including AI-generated content) will be accurate, complete, or fit for any specific purpose.

Nothing in these Terms excludes or limits our liability in respect of: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by law, including our liability for breach of the implied terms as to title in the Sale of Goods Act 1979 and the Consumer Rights Act 2015 where applicable.

10.2 AI Content Disclaimer

AI-generated content (including commentary, highlights, effects, and analysis) is produced automatically and may contain errors, inaccuracies, or unintended output. Where necessary we will label AI-generated elements within the Service in compliance with applicable law in force from time to time. Where the Service generates or manipulates content that appreciably resembles real persons, events, or footage, that content will be marked as AI-generated or AI-manipulated in a form that is clear to users. You use AI-generated content at your own risk. We do not guarantee the accuracy, quality, or appropriateness of any AI-generated output. You are responsible for verifying any AI-generated content before publishing or sharing it publicly. Recap accepts no liability for any inaccuracy in AI-generated output.

10.3 Limitation of Liability

To the fullest extent permitted by law, Recap, its affiliates, officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, revenue, business opportunities, loss of content, loss of opportunity, reputational harm, or goodwill.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to Recap in the 12 months preceding the claim, or (b) one hundred pounds sterling (GBP 100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Recap, its officers, directors, employees, affiliates, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service
• Your breach of these Terms
• Your User Content, including any claim that your content infringes the rights of a third party
• Your failure to obtain necessary consents from individuals appearing in your content
• Any violation of applicable law

12. Copyright and Intellectual Property Claims

We respect intellectual property rights and are committed to responding to clear notices of alleged infringement. We also maintain a content reporting mechanism through which users may report illegal content or content that violates these Terms. If you believe that content on the Service infringes your copyright or other intellectual property rights, please submit a notice to legal@recap.mobi including:

• A description of the copyrighted work you claim has been infringed
• Identification of the infringing content and its location on the Service
• Your contact information
• A statement that you have a good faith belief that the use is not authorised
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorised to act on their behalf

We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers.

13. Termination

We may suspend or terminate your access to the Service for the following reasons: breach of these Terms or our Community Guidelines; a legal or regulatory requirement to do so; extended account inactivity (of more than 12 months); or where we are required to act by a court or competent authority. Where we suspend or terminate your account, we will provide you with a statement of the reasons for that decision and information about how to challenge it, unless we are prevented from doing so by law or where providing notice would compromise a law enforcement investigation.

Upon termination:

• All licences granted to you under these Terms will immediately cease
• You must stop using the Service
• We may retain copies of your data as required by law or for legitimate business purposes

You may terminate your account at any time through the app settings or by contacting legal@recap.mobi.

Survival. The following sections will survive any termination or expiry of these Terms: Section 4 (User Content and Licences, to the extent of the surviving licence rights), Section 5 (Your Responsibility for Consent and Rights), Section 8 (Intellectual Property), Section 10 (Disclaimers and Limitation of Liability), Section 11 (Indemnification), Section 14 (Governing Law and Dispute Resolution), Section 15 (Miscellaneous), and any other provision that by its nature should survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this section limits any non-excludable statutory rights you have as a consumer under the laws of the United Kingdom, including the right to bring proceedings in the courts of the part of the United Kingdom in which you reside.

15. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Recap regarding your use of the Service.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms (including in connection with a merger, acquisition, reorganisation, or sale of assets) without your consent.

Force Majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labour disputes, pandemic, or interruptions to the internet, cloud infrastructure, or third-party AI services on which the Service relies.

Notices. We may give notices to you via the email address associated with your account or by in-app notification, and such notices are effective when sent. Notices to Recap must be sent to legal@recap.mobi.
